[](https://nodesource.com/products/nsolid) # Developer License Agreement This Developer License Agreement ("Agreement") is entered into as of [Effective Date], by and between Nyang Digital iHub ("Developer"), and Adosons Limited ("Client"). ## 1. Scope of License: Developer hereby grants Client a non-exclusive, worldwide, royalty-free license to use the software developed by Developer ("Software") for any lawful purpose. ## 2. Ownership: All rights, title, and interest in and to the Software, including any intellectual property rights, shall remain vested in Developer. This Agreement does not transfer ownership of the Software to Client. ## 3. Permitted Uses: Client may use the Software for any lawful purpose without restriction. Client may not modify, distribute, sublicense, or transfer the Software without prior written consent from Developer. ## 4. Restrictions: Client shall not reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software. Client shall not remove or alter any copyright, trademark, or other proprietary rights notices contained in the Software. ## 5. Delivery and Support: Developer shall deliver the Software to Client in the agreed-upon format. Developer shall not be responsible for providing technical support, maintenance, or updates for the Software unless otherwise agreed upon in a separate written contract. ## 6. Warranty: Developer represents and warrants that it has the right to grant the license to the Software and that the Software does not infringe upon the intellectual property rights of any third party. The Software is provided "as is" without any warranty of any kind. ## 7. Limitation of Liability: In no event shall Developer be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the use of the Software. ## 8. Term and Termination: This Agreement shall commence on the Effective Date and shall continue until terminated by either party. Either party may terminate this Agreement upon written notice if the other party materially breaches any provision of this Agreement. ## 9. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of Kenya. Any dispute arising out of or in connection with this Agreement shall be resolved exclusively by the courts of Kenya. ## 10. Entire Agreement This Agreement constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior or contemporaneous agreements and understandings, written or oral, between the parties.
